QUALIFYING CRITERIA::
II. योग्‍यतापूर्व मानदंड / Pre-Qualification Criteria: i) Financial Capacity: a. The Bidder shall have a minimum positive Net Worth (the “Financial Capacity”) equivalent to Rs. 75 Lacs (Rupees Seventy Fifty Lacs only) per MU equivalent to the Contracted Quantum (80 MU /year), for supplying Renewable Energy, equating to approx. Rs. 60 Cr. (Rupees Sixty Crores) (Rs. 75 Lacs * 80 MUs), for both Solar and Non-Solar, in each of the last three (3) financial years preceding the Bid Deadline; For the purposes of this RFP, Net Worth (the “Net Worth”) shall mean the sum of subscribed and paid up equity and reserves from which shall be deducted the sum of revaluation reserves, intangible assets, miscellaneous expenditure not written off and reserves not available for distribution to equity shareholders; For the purposes of this RFP, Bidder may show its consolidated Net Worth, including Net Worth of its other group companies that are involved in generation of renewable energy only in India; Net Worth shall be computed in the following manner by the Bidder: Net Worth = Paid up share capital Add: Reserves Subtract: Revaluation Reserves Subtract: Intangible Assets Subtract: Miscellaneous Expenditures to the extent not written off and carry forward losses b. The Bidder shall have a minimum annual turn-over equivalent to Rs. 90 Lacs (Rupees Ninety Lacs only) per MU equivalent to the Contracted Quantum (80 MU/ year), for supplying Renewable Energy, equating to approx. Rs. 72 Cr. (Rupees Seventy Two Crores) (Rs. 90 Lacs * 80 MUs), for both Solar and Non-Solar in each of the last three (3) financial years preceding the Bid Deadline. For the purposes of this RFP, Bidder may show its consolidated annual turn-over, including annual turn-over of its other group companies that are involved in generation of renewable energy only in India; ii) Technical Capacity: a. For demonstrating technical capacity and experience (the “Technical Capacity”), the Bidder (in case the Bidder is a trading licensee, the Bidder shall ensure that the corporate entity owning the generating unit(s) fulfills the Technical Capacity and the Bidder shall submit documentary evidence regarding the same in its Bid for having supplied such quantum of Renewable Energy anywhere in India, which is not less than the Contracted Quantum i.e 80 MUs/year , as the Bidder is intending to Bid under Format 4.9 of this RFP, for last one (1) year as on the date of issuance of this RFP; b. In case the Bidder is a Trading Licensee and intends to supply power on short term basis under bilateral model, the Trading Licensee shall have executed exclusive Power Purchase Agreement, as per Format 4.6, pursuant to the RFP documents hereto, and shall provide a copy of the same as part of its Bid; c. The Bidder shall undertake (as per Format 4.5) not to submit any other bid, on the basis of the same generation source and quantum of power from such source as mentioned in its Bid, in any bid process till the time of selection of Successful Bidder and issuance of LOI or the termination of the process, whichever is earlier subject to a maximum period of one hundred and twenty (120) days from the Bid Deadline. If the Bidder is a Trading Licensee, it shall undertake (as per Format 4.5) not to submit any bid, on the basis of the exclusive power purchase agreement submitted along with its Bid for the same quantum of power and generation source specified therein, in any bid process till the time of selection of Successful Bidder and issuance of LOI or the termination of the process, whichever is earlier subject to a maximum period of one hundred and twenty (120) days from the Bid Deadline; d. The Bidder should be in a position to operationalize the contract by actual injection of power by the Probable Scheduled Delivery Date as mentioned in this RFP; e. The bidder should have supplied Renewable energy for a minimum period of One year in India as on bid closing date. Note: 1. No Relaxation in Prior Turnover and Prior experience for Micro & Small Enterprises. 2. No Relaxation in prior turnover and prior experience criteria for Startup Company. iii) Other Criteria: a. The Bidder must meet the Qualifying Requirements independently and will be declared as a Qualified Bidder based on meeting the Qualification Requirements specified below and as demonstrated based on the documentary evidence submitted by the Bidder in the Bid; b. The Bidder should be a corporate entity duly incorporated under the relevant laws. The Bidder can be an independent power producer, or a distribution company, or a trading licensee willing to participate in the bidding process for supply of power to MRPL. The Bidder shall neither have been expelled from any project or contract by any government company/ authority/ public sector undertaking nor have had any contract terminated by any government company/ authority/ public sector undertaking for breach on their part. Bidder should specify its nature of entity under Bidder’s Information Sheet (Format 4.3); c. The Bidders are to Bid for the Contracted Capacity specified in Clause 1.3.1; d. Bidder can submit more than one Bid in the same bidding process from the different generation source; e. The Qualified Bidder(s) will be required to continue to maintain compliance with the Qualification Requirements throughout the bidding process and till the execution of the PPA. Failure to comply with the aforesaid provisions shall make the Bid liable for rejection at any stage; f. Notwithstanding anything to the contrary contained in this RFP, the detailed terms specified in the draft PPA shall have overriding effect; provided, however, that any conditions or obligations imposed on the Bidder hereunder shall continue to have effect in addition to its obligations under the PPA; g. The draft PPA for bidders who intends to supply power through Solar, Wind, other renewable sources etc. as sources for power generation provided by Procurer as part of the Bidding Documents shall be deemed to be part of this RFP and shall be basis for PPA to be executed out of this RFP. h. Bidder has to quote for all items as per price bid and this is to be confirmed in the format provided along with the technical bid. i. The bidder should not be under a black-list/ holiday list of any state/central government department or undertaking (including PSUs). Bidder shall give a self declaration to this effect. j. Joint venture / Consortium bids not be permitted for this tender. Note: Bidder is required to provide the following documentary proof in support of meeting Pre-Qualification Criteria along with their technical bid: 1. Annual reports containing Audited balance sheets and Profit & Loss statement, in the first instance itself, in support of their fulfilling the qualification criteria. (In case the last Financial closing date is within 9 months of bid due date and audited annual report of immediate preceding Financial year is not available, bidder has the option to submit the Financial details of the three previous years immediately prior to the last Financial year. Otherwise, it is compulsory to submit the Financial details of the immediate three preceding Financial years.) 2. Bidder shall furnish documents as per formats attached in tender documents. 3. Other relevant documentary evidence for all the above mentioned criteria. (As applicable for the tender) 4. All documents furnished by bidder in support of meeting the experience criteria of PQC shall be : EITHER “Duly certified by Statutory Auditors of the Bidder or a practicing Chartered Accountant (not being an employee or a director or not having any interest in the bidder(s) company/firm) where audited accounts are not mandatory as per law. OR “Duly notarized by any Notary Public in the bidders country. 5. MRPL reserves the right to complete the evaluation based on the details furnished without seeking any additional information. iv) रद्द करने संबंधी मानदंड /Rejection Criteria: 1. Bids received after the due date and time of bid submission shall be summarily rejected. 2. Bids without BID BOND/EMD: Bids received without/ with insufficient EMD (in original with the Technical Bid), before the bid closing date & time shall be summarily rejected. However, Govt. Dept. /PSUs/ firms registered with NSIC/MSE (Micro & Small Enterprise), vendors registered with District Industries Center (DIC), Startups are exempted from submission of EMD. Such bidders shall submit relevant documentary proof towards exemption, along with technical bid of the tender. 3. Offer sent without having the prescribed bidding document of MRPL, non-adherence to technical / commercial terms & conditions, Unpriced bid and Price bid not in the prescribed format, incomplete bids and bids with deviations to the tendered scope of work shall be liable for rejection. 4. Non-compliance to any of PQC/BEC will be liable for rejection. 5. Bidders failure to enter into Integrity Pact as applicable for the Tender along with the bid duly signed shall be liable for rejection. 6. If technical bid & price bid are submitted together. 7. Bids found to have been submitted with falsified/ incorrect information. 8. If Bidder is in the Holiday/ Blacklist of any CPSU/ State PSU/ Central or State Government Undertaking. Bidder shall give a self-declaration to this effect. 9. Consortium / Joint bids shall not be accepted. 10. Bidder to quote for all items enlisted in the BOQ, otherwise bid shall be rejected. 11. Offers not meeting statutory requirement are liable for rejection. III. (बोली मूल्‍यांकन मानदंड /Bid Evaluation Criteria) / बीईसी BEC: 1) The bidder should accept in Toto the Technical specification and Scope of work given in the Tender with no deviation as per clauses of the tender document. 2) Techno commercially acceptable bids will be evaluated on overall L-1 basis, i.e. lowest landed cost to MRPL 3) In case of a tie in overall L-1, then the bidder with higher turnover (3 years Average Annual turnover total as per PQC# i) will be considered as lowest ranking tenderer.
